2. Sözleşmenin Konusu

İşbu Sözleşme'nin konusu; Alıcı'nın, Satıcı'ya ait web sitesi üzerinden elektronik ortamda siparişini verdiği, nitelikleri ve satış fiyatı belirtilen dijital içerik hizmetinin (SaaS) satışı ve teslimi ile ilgili olarak tarafların hak ve yükümlülüklerinin belirlenmesidir.

3. Hizmetin Niteliği ve Kullanım Şartları

  • Dijital İçerik: Satın alınan hizmet; istatistiksel analiz, kombinasyon formülasyonu ve veri erişimi sağlayan bir yazılım hizmetidir. Hizmet, ödeme onaylandığı anda dijital ortamda ifa edilir.
  • Yaş Sınırı: Alıcı, işbu platforma üye olarak ve hizmet satın alarak 18 yaşından büyük olduğunu beyan ve taahhüt eder. Satıcı, reşit olmayan kişilerin hatalı beyanlarından dolayı sorumluluk kabul etmez.
  • Paket Farklılıkları: Silver (1 Ay), Gold (6 Ay) ve Diamond (12 Ay) paketleri; kayıtlı kombinasyon oluşturma limitleri, arşiv erişim süreleri ve üyelik hakları bakımından farklılık gösterir. Alıcı, satın aldığı paketin kapsamını "Fiyat Listesi" sayfasında gördüğünü ve kabul ettiğini beyan eder.
  • Paket Yükseltme (Upgrade): Alıcı mevcut paketini yükselttiğinde, kalan süresi sistem tarafından otomatik olarak yüksek paketin özelliklerine dönüştürülür.
  • Paket Değişiklikleri ve Alt Pakete Geçiş: Platform üzerinde yalnızca "Üst Pakete Geçiş" (Upgrade) işlemi yapılabilmektedir. Alıcı, satın aldığı paketin bir alt versiyonuna (Örn: Diamond'dan Gold'a veya Gold’tan Silver’a) mevcut abonelik süresi içinde geçiş yapamaz ve bu yöndeki değişiklik talepleri için ücret iadesi talep edemez. Alıcı, daha düşük bir pakete geçmek isterse; mevcut paket süresinin dolmasını ve hesabının "Free" plana düşmesini beklemelidir. Hesabı "Free" plana düştükten sonra dilediği yeni paketi satın alabilir. Yanlış paket seçimi nedeniyle yapılacak iade talepleri, hizmetin anında ifa edilmesi sebebiyle kabul edilmeyecektir.
  • Mükerrer Ödemeler: Aynı veya farklı paketler için yapılan mükerrer ödemelerde, ödenen toplam süre kullanıcının hesabına eklenir. Farklı seviyelerdeki paketlerin eş zamanlı alınması durumunda, en yüksek paketin özellikleri tüm süre boyunca tanımlanır.
  • Analiz Puanı Tablosu ve Analiz Araçları: Platformda sunulan "Analiz Puanı Tablosu" ve "Arşiv" verileri; dağılım verileri ile istatistiksel verilerinin sayı ve renkler aracılığıyla sunulduğu bir veri görselleştirme aracıdır. Bu araçlar Alıcı’ya doğrudan veri modelleri sonucu veya algoritmik sonuçlar sunmaz; sadece Alıcı’nın kendi analizini yapabilmesi için veri setleri sağlar. Bu tabloların yorumlanması ve bu yorumlara dayalı olarak yapılan ana veri girişi veya tercih işlemlerinin tüm sorumluluğu Alıcı’ya aittir. Söz konusu verilerin yorumlanmasından doğabilecek hatalardan Satıcı sorumlu tutulamaz.

4. Ödeme ve Otomatik Yenileme

  • Otomatik Tahsilat: Alıcı, kredi kartı bilgilerini sisteme tanımlayarak otomatik ödeme talimatı vermiş sayılır. Abonelikler, dönem sonunda güncel fiyatlar üzerinden otomatik olarak yenilenir. Kullanıcı, yenileme tarihinden önce dilediği zaman panel üzerinden bu talimatı iptal edebilir.
  • Ödeme Başarısızlığı ve Takibi: Kredi kartından tahsilat yapılamaması durumunda, sistem belirli aralıklarla (Smart Retries) otomatik olarak tekrar tahsilat denemesi yapabilir. Bu süre zarfında Alıcı'nın hizmete erişimi kısıtlanabilir. Belirlenen deneme süreci sonunda tahsilatın hala başarısız olması durumunda, abonelik Satıcı tarafından feshedilir ve hesap "Free" plana düşürülür. Alıcı, limit yetersizliği gibi nedenlerle geciken ödemelerin daha sonra otomatik olarak tahsil edilmesini kabul eder.
  • Fiyat Değişiklikleri: Satıcı, abonelik ücretlerinde değişiklik yapma hakkını saklı tutar. Yapılan fiyat değişiklikleri, Alıcı'nın mevcut abonelik dönemi içinde uygulanmaz; ancak bir sonraki yenileme döneminde (otomatik çekim tarihinde) geçerli olur. Satıcı, fiyat artışlarını Alıcı’nın kayıtlı e-posta adresine bildirir. Alıcı, yenileme tarihine kadar aboneliğini iptal etmediği takdirde yeni fiyatı kabul etmiş sayılır.
  • İptal Hakkı: Alıcı, dilediği zaman kullanıcı paneli üzerinden otomatik yenileme talimatını iptal edebilir. İptal işlemi, aktif dönem sonuna kadar hizmet alımını durdurmaz ancak bir sonraki dönem için çekim yapılmasını engeller.
  • Ödeme Başarısızlığı: Kredi kartından tahsilat yapılamaması durumunda abonelik yenilenmez ve hesap "Free" plana düşürülür.

5. Cayma Hakkı İstisnası ve İade Şartları

  • İade Yoktur: İşbu sözleşme konusu hizmet, "elektronik ortamda anında ifa edilen ve tüketiciye anında teslim edilen gayrimaddi mal ve hizmetler" kapsamında olduğundan, Alıcı’nın cayma hakkı bulunmamaktadır.
  • Kullanım Onayı: Alıcı, ödeme işlemini tamamladığı an hizmetin ifasına başlanacağını ve bu aşamadan sonra ücret iadesi yapılmasının mümkün olmadığını kabul, beyan ve taahhüt eder.

6. Yetkili Mahkeme ve Hukuk

  • Sorumluluk Sınırlandırması: Formuloto.com, platformun kullanımından doğabilecek dolaylı, arızi veya cezai zararlardan hiçbir koşulda sorumlu tutulamaz. Hizmetin dijital ortamda ifa edildiği sistem kayıtları ile sabit olduğundan; Alıcı tarafından haksız veya kötü niyetli şekilde başlatılan kart harcama itirazları (chargeback) sonucunda Satıcı'nın maruz kalacağı tüm masraf, ceza ve hukuki giderler Alıcı'dan talep edilecektir. Formuloto.com'un kullanıcıya karşı doğabilecek toplam mali sorumluluğu, her halükarda kullanıcının son 12 ay içinde platforma ödediği toplam tutarı geçemez.
  • Tahkim Şartı: Bu platformun kullanımından doğan tüm ihtilaflar, mahkemeye gidilmeden önce North Dakota'da, North Dakota yasalarına uygun tahkim yolları çerçevesinde tahkim yoluyla çözülecektir. Kullanıcı, bu sözleşmeyi kabul ederek toplu dava (class action) açma hakkından feragat ettiğini ve tüm taleplerini bireysel olarak takip edeceğini kabul eder.
  • Garantiden Muafiyet: Hizmetler 'olduğu gibi' (as is) ve 'mevcut haliyle' sunulmaktadır. Formuloto.com, sistemin hatasız olacağına veya belirli bir amaca uygunluğuna dair açık veya zımni hiçbir garanti vermez.
  • Yetkili Mahkeme: Bu sözleşmeden doğabilecek her türlü ihtilafta North Dakota, ABD (USA) yasaları uygulanacak olup; uyuşmazlıkların çözümünde North Dakota Mahkemeleri ve İcra Daireleri münhasır yetkilidir.

Distance Sales Agreement

1. Parties

  • SELLER: Formuloto.com Online Services
  • E-MAIL: legal@formuloto.com
  • LEGAL ADDRESS: North Dakota, USA
  • BUYER: The user who is a member of the Formuloto.com platform and purchases services.

2. Subject of the Agreement

The subject of this Agreement is the determination of the rights and obligations of the parties regarding the sale and delivery of the digital content service (SaaS), the characteristics and sales price of which are specified, ordered by the Buyer electronically via the Seller's website.

3. Nature of the Service and Terms of Use

  • Digital Content: The purchased service is a software service that provides statistical analysis, combination formulation, and data access. The service is performed in a digital environment the moment the payment is confirmed.
  • Age Limit: By becoming a member of this platform and purchasing services, the Buyer declares and undertakes that they are over 18 years of age. The Seller does not accept responsibility for false declarations by minors.
  • Plan Differences: Silver (1 Month), Gold (6 Months), and Diamond (12 Months) plans differ in terms of registered combination generation limits, archive access durations, and membership rights. The Buyer declares that they have viewed and accepted the scope of the plan they purchased on the "Price List" page.
  • Plan Upgrade: When the Buyer upgrades their current plan, the remaining duration is automatically converted by the system to the features of the higher plan.
  • Plan Changes and Downgrading: Only "Upgrade" (switching to a higher plan) transactions can be performed on the platform. The Buyer cannot switch to a lower version of the purchased plan (e.g., from Diamond to Gold or from Gold to Silver) within the current subscription period and cannot request a refund for such change requests. If the Buyer wishes to switch to a lower plan, they must wait for the current plan period to expire and for their account to revert to the "Free" plan. Once the account reverts to the "Free" plan, they may purchase any new plan they wish.
  • Incorrect Selections: Refund requests due to incorrect plan selection will not be accepted as the service is performed immediately.
  • Duplicate Payments: In duplicate payments made for the same or different plans, the total paid duration is added to the user's account. If plans of different levels are purchased simultaneously, the features of the highest-level plan are defined for the entire duration.
  • Analysis Score Table and Analysis Tools: The "Analysis Score Table" and "Archive" data provided on the platform are data visualization tools where distribution data and statistical data are presented through numbers and colors. These tools do not provide the Buyer with direct data model results or algorithmic results; they only provide data sets for the Buyer to perform their own analysis. All responsibility for the interpretation of these tables and the primary input data or selection processes made based on these interpretations belongs to the Buyer. The Seller cannot be held responsible for errors arising from the interpretation of said data.

4. Payment and Automatic Renewal

  • Automatic Collection: By defining credit card information in the system, the Buyer is deemed to have given an automatic payment instruction. Subscriptions are automatically renewed at the end of the period at current prices. The user may cancel this instruction at any time before the renewal date via the panel.
  • Payment Failure and Follow-up: If collection cannot be made from the credit card, the system may automatically attempt collection again at certain intervals (Smart Retries). During this period, the Buyer's access to the service may be restricted. If collection still fails at the end of the designated retry process, the subscription is terminated by the Seller, and the account reverts to the "Free" plan.

5. Right of Withdrawal and Refund

The Buyer accepts, declares, and undertakes that since the service subject to this Agreement is a digital content service performed immediately in an electronic environment, the right of withdrawal cannot be exercised in accordance with international digital trade norms and the Consumer Protection Law. The Buyer acknowledges that once the payment transaction is completed, the performance of the service begins and no refund is possible thereafter.

6. Authorized Court and Law

  • Limitation of Liability: Formuloto.com shall under no circumstances be held liable for indirect, incidental, or punitive damages arising from the use of the platform. Since the performance of the service in a digital environment is verified via system request logs, all costs, penalties, and legal expenses incurred by the Seller as a result of unfair or bad-faith chargebacks initiated by the Buyer will be claimed from the Buyer. Formuloto.com's total financial liability toward the user shall in no case exceed the total amount paid by the user to the platform within the last 12 months.
  • Arbitration Clause: All disputes arising from the use of this platform shall be resolved through arbitration in North Dakota, in accordance with North Dakota laws, before going to court. By accepting this agreement, the user waives the right to participate in a class action and agrees to pursue all claims individually.
  • Exclusion of Warranty: Services are provided "as is" and "as available." Formuloto.com gives no express or implied warranty that the system will be error-free or suitable for a particular purpose.
  • Authorized Jurisdiction: In any dispute arising from this contract, the laws of North Dakota, USA shall apply, and the North Dakota Courts and Execution Offices shall have exclusive jurisdiction.
